These Terms and Conditions (“Terms”) govern the relationship between Sakura Rise, operated by Neo Japan Inc. (“the Agency”, “we”, “us”), and any creator, model, partner, or user (“Creator”, “you”) who engages with our services.

By signing an agreement, submitting an application, or using Sakura Rise services, you agree to be bound by these Terms.

1. Introduction

These Terms define the rights and responsibilities of both Sakura Rise and the Creator.
If you do not agree to these Terms, you must not use our services.

2. Services Provided

Sakura Rise provides marketing, management, and localization support, including:

  • Social media strategy & account management
  • Chatting support and fan communication
  • Translation (JP ⇄ EN and other languages)
  • Content planning, editing, and scheduling
  • Branding optimization for the Japanese market
  • Revenue-model consulting
  • Customer support assistance
  • Creative services (graphics, video editing, etc.)

Sakura Rise does not:

  • Force creators to produce pornographic or sexual content
  • Request illegal, non-consensual, or unsafe activities
  • Demand any explicit production beyond the Creator’s voluntary choices

3. Eligibility

Creators must:

  • Be at least 18 years old
  • Provide valid government-issued identification
  • Own all rights to the content they publish
  • Comply with local laws and platform terms
  • Submit accurate and truthful information

4. Creator Responsibilities

Creators agree to:

  • Provide accurate information at all times
  • Submit only legal and compliant content
  • Avoid:
    • Minor-related content
    • Non-consensual acts
    • Violence, hate, drugs
    • Copyright-infringing materials
  • Report immediately to the Agency:
    • Account issues
    • Security breaches
    • Platform warnings or suspensions
  • Follow all platform policies

Creators retain 100% ownership of all content.

5. Agency Responsibilities

Sakura Rise agrees to:

  • Provide professional marketing and management support
  • Never upload content without explicit approval
  • Maintain confidentiality of all creator information
  • Not resell, redistribute, or misuse content
  • Provide monthly performance reports
  • Comply with all applicable laws and platform rules

6. Content Ownership & Licensing

All copyrights, likeness rights, and image rights remain with the Creator.

The Creator grants Sakura Rise a limited, revocable, non-exclusive license to:

  • Translate
  • Edit
  • Upload content on agreed platforms
  • Use content for marketing only with prior Creator approval

Sakura Rise will never:

  • Sell content
  • Use content outside the agreed scope
  • Upload content without consent

7. Chatting & Fan Communication

If the Creator uses chatting services:

  • Communication follows the Creator’s persona and approved style
  • No promises of real-life meetings or illegal solicitation may be made
  • No statements that mislead fans about real-world actions
  • Chatting-related revenue follows the agreed revenue-sharing model
  • Chatting is a form of role-play interaction and not a guarantee of personal engagement

7.1 Voluntary Discussions About Adult Content

(1) No coercion by the Agency

Sakura Rise will never pressure or require any Creator to produce:

  • Pornographic content
  • Sexual acts
  • Explicit scenes
  • Any content beyond the Creator’s comfort or consent

(2) Creator-initiated voluntary discussions

If the Creator voluntarily approaches the Agency to discuss:

  • Producing adult content
  • Planning explicit content
  • Improving performance of adult content
  • Market suitability for specific explicit genres

The Agency may provide, within lawful boundaries:

  • Marketing advice
  • Translation
  • Captions and description support
  • Sales strategy suggestions
  • Guidance on platform-compliant content

The Agency does not manage or direct the shooting process.

(3) Creator’s final responsibility

All decisions regarding the creation of adult content:

  • Are made solely by the Creator
  • Are the Creator’s full legal and personal responsibility
  • Are outside of the Agency’s operational control

(4) No assistance for illegal or unsafe content

The Agency will not assist with or advise on:

  • Content illegal in Japan or the Creator’s country
  • Platform policy violations
  • Minor-related, non-consensual, or dangerous acts

8. Revenue Share & Earnings

Unless otherwise agreed, Revenue is shared according to the mutually agreed percentage (e.g., 50/50, 60/40).

Revenue is calculated after:

  • Platform fees
  • Payment processor fees
  • Bank or currency conversion fees

Monthly payout statements are provided.

9. Payments

Payments may be made via bank transfer, Wise, PayPal, or other agreed methods.

Sakura Rise is not responsible for delays caused by:

  • Banks
  • Platforms
  • External processors

Creators are responsible for tax obligations in their country.

Sakura Rise does not provide tax filing support unless separately contracted.

10. Platform Compliance & Account Issues

The Agency is not responsible for:

  • Account bans
  • Shadowbans
  • Algorithm changes
  • Platform outages
  • Policy changes

These matters are outside the Agency’s control.

11. Confidentiality

Both parties agree to keep the following confidential:

  • Personal information
  • Earnings and financial data
  • Operational methods
  • Strategic documents
  • Chat logs
  • Internal discussions

Confidentiality obligations continue after termination.

12. Exclusivity (Japan-Only Exclusive Rights)

Although Sakura Rise generally operates on a non-exclusive basis, all activities related to the Japanese market shall be exclusively managed by Sakura Rise.

The Creator agrees not to engage, appoint, or authorize any other agency, manager, or third party for any Japan-related activities, including:

  • Japanese-language social media management
  • Japanese fan communication (chat, DM, comments)
  • Japanese market promotion and branding
  • Japanese-language content creation, editing, or scheduling
  • Localization of messaging for the Japanese audience
  • Management of Japan-specific accounts (e.g., Fanicon, Fantia)
  • Japanese customer support or inquiries
  • Any revenue-related operations targeting the Japanese audience

Prior written consent required

The Creator must obtain Sakura Rise’s prior written approval before:

  • Contracting with another agency for Japan-related work
  • Allowing any third party to manage Japan-facing content or accounts
  • Appointing additional managers for Japanese operations

Violation

If the Creator breaches this exclusivity, the Agency may:

  • Terminate the contract immediately
  • Claim 100% of Japan-related earnings obtained during the breach
  • Seek compensation for damages caused by the violation
  • Suspend access to Japan-related accounts and operational systems

No restriction on global activities

This exclusivity applies only to Japan. The Creator is free to work with other agencies globally outside the Japanese market.

13. Contract Duration, Renewal & Termination

Term

  • Standard term: 6 or 12 months
  • Automatic renewal unless written notice is given 30 days in advance

Creator termination

  • 30 days written notice required
  • Outstanding balances are paid after reconciliation

Immediate termination by the Agency

Occurs if the Creator:

  • Publishes illegal content
  • Submits fraudulent information
  • Violates platform terms
  • Damages the Agency’s reputation
  • Breaches confidentiality or exclusivity

14. Post-Termination Conditions

Upon termination:

  • Sakura Rise will delete stored content within 30 days
  • Pending payouts will be completed
  • All licenses granted to the Agency will immediately expire
  • A termination confirmation can be issued upon request

15. Compliance & Prohibited Content

Creators may not upload or ask support for:

  • Minor-related content
  • Non-consensual acts
  • Violence, exploitation, or coercion
  • Drug-related content
  • Bestiality
  • Privacy violations
  • Fraudulent behavior

As aligned with Clause 7.1: Sakura Rise does not require adult content production; Creator-initiated discussions may be supported within lawful limits.

16. Anti-Social Forces (Japan Requirement)

Creators affirm they have no affiliation with:

  • Organized crime groups
  • Extremist groups
  • Fraudulent or illegal organizations

Violation results in immediate termination.

17. Data Protection (GDPR & APPI)

Sakura Rise complies with:

  • GDPR
  • Japan’s Act on the Protection of Personal Information (APPI)

Creators may request:

  • Access
  • Correction
  • Deletion (where legally permitted)

18. Limitation of Liability

Sakura Rise is not liable for:

  • Loss of profits or revenue
  • Platform bans
  • Data loss
  • Technical failures
  • Indirect or consequential damages

Liability is capped at the fees paid to Sakura Rise in the previous 30 days.

19. Indemnification

The Creator agrees to indemnify Sakura Rise from claims arising due to:

  • Illegal content
  • Copyright infringement
  • Platform violations
  • Misrepresentation
  • Damages to third parties

20. Dispute Resolution

Disputes will first be resolved through good-faith negotiation. If unresolved:

  • Jurisdiction: Tokyo, Japan
  • Arbitration may be used if mutually agreed

21. Governing Law

These Terms are governed by the laws of Japan.

22. Amendments

Sakura Rise may update these Terms. Significant changes will be communicated in advance.
